Anthropic, the high-profile artificial intelligence safety and research firm, has officially filed a confidential Form S-1 with the U.S. Securities and Exchange Commission (SEC). The filing marks a pivotal step toward an Initial Public Offering (IPO), providing the company with the strategic flexibility to debut on the public stock exchange.

While Anthropic confirmed the submission, the company emphasized that the final decision to go public remains contingent on prevailing market conditions and other external variables. Details regarding the specific number of shares to be offered and the target valuation range have not yet been disclosed.

The Convergence of the "Big Three": A Trillion-Dollar Liquidity Event

The move by Anthropic signals a historic shift in the private tech sector. For the first time, the three most influential private tech giants SpaceX, OpenAI, and now Anthropic are simultaneously positioned to transition into public companies. Analysts anticipate a massive influx of global capital as institutional investors scramble to secure positions in these frontier technology leaders.

The timeline for these debuts is rapidly accelerating:

  • SpaceX: Reports suggest Elon Musk’s aerospace firm aims to finalize its public debut within this month.

  • Market Dominance: Following its recent Series H funding round, Anthropic has achieved a historic milestone, surpassing OpenAI in valuation for the first time. Anthropic is currently valued at a staggering $965 billion, eclipsing OpenAI’s estimated valuation of $850 billion.

Confidential S-1 filings are a common strategy used by tech companies under the U.S. Jobs and Insurance Act, allowing them to submit financial information and business plans to the SEC for scrutiny without public access to competitors and the general public until 15 days before the actual IPO. This helped Anthropic maintain trade secrets during its intense competition with OpenAI.

Interestingly, Anthropic surpassed OpenAI with a valuation nearing $1 trillion. This was primarily due to institutional investors' confidence in Claude's family's "AI Safety & Reliability," coupled with strong alliances with Amazon and Google, who were ready to continuously invest in their cloud infrastructure. In contrast, OpenAI faced challenges with its complex organizational structure and the departure of key personnel.

The simultaneous IPOs of SpaceX, OpenAI, and Anthropic created what's known as "The Great Tech Repricing." The U.S. stock market would no longer be dominated by the "Magnificent Seven," but would witness the largest fundraising round in global capital market history.
